This Agreement, which incorporates by reference other provisions applicable to the use of Starfinds.com.ph, including, but not limited to, supplemental terms and conditions set forth hereof containing the use of certain specific materials obtained from Starfinds.com.ph, set forth the terms and conditions that apply to your use of Starfinds.com.ph. By accessing and/or using Starfinds.com.ph (other than to read this Agreement for the first time) you agree to the terms and conditions outlined in this Terms of Use Agreement (Ägreement”) with respect to the Starfinds Website, including any fees associated with the use of website. You likewise agree to be bound by any and all laws, rules, regulations, ordinances and official issuances applicable to the Starfinds Website, now existing or which may hereinafter be issued, as well as such other terms and conditions governing the use of other facilities, benefits, and services (“Services”) which Starfinds may make available to you. This Agreement may be amended at any time by us without notice to you. The latest Agreement will be posted on the Website. Thus, it is your responsibility to review this Agreement prior to using the Website.

You hereby affirm that you are atleast eighteen (18) years of age and possess the legal authority to enter into this Agreement, and to use the Services in accordance with all the terms and condition herein set forth. If you are bidding for auctioned goods posted on the Starfinds Website, you further warrant that you have the legal authority to enter into binding agreements for the sale or purchase of goods. You agree to be financially responsible for your use and/or availment of the Services (as well as for the use of your account by others, including without limitation, minors that may have availed of your account, with or without your knowledge). You agree to supervise and be responsible for the usage of minors of the Services under you name or account. You also warrant the authenticity of all information supplied by you or anyone who may have availed of the Services using your account including without limitation your username, email address, mailing address, mobile number, and if you are selling goods, all information about your listed goods, is true and accurate. Failure to provide accurate information may subject you to civil and criminal penalties.

If any of the Services requires you to open an account, you must complete the registration process by providing Starfinds with current, complete, and accurate information as prompted by the applicable registration form. After completion of the registration form, your username and password will be accurately supplied. Updating the information which you have provided is your responsibility to ensure that the information is always current and valid. You agree that access to the Website or its content will be limited to the named user only. “Named User" means the identity of the person(s) that are provided to Starfinds.com.ph as subscribers or users of the site. You agree that you will not under any circumstances allow your User ID and/or password to be used by any other person. You are solely responsible for maintaining the confidentiality of your password and account. Furthermore, you are entirely responsible for any and all activities that will take place under your account. You agree to inform Starfinds immediately of any unauthorized use of your account or any other breach of security. Starfinds will not be liable for any damage or loss sustained as a result of any authorized or unauthorized use of your password and/or your account. However, you will be held liable for any loss or damage sustained by Starfinds or another party due to such authorized or unauthorized use of your account and/or password. You may not use anyone else’s Starfinds account without the permission of the account holder. You hereby agree, acknowledge and give your consent to Starfinds’ access, preservation and disclosure of your personal information, if Starfinds thinks that it is necessary or is required to comply with any applicable law, regulation, legal process or governmental request, or in good faith deems that such access, preservation or disclosure is reasonably necessary to: conform with legal process; enforce this Agreement;; respond to claims that you have violated the rights of others; answer for customer service; protect the rights, property and safety of Starfinds, its members and users. Starfinds reserves the right at all times, and upon its sole discretion, to edit, refuse to post, or to remove any information or materials that you may have posted, in whole or in part.

Starfinds.com.ph is an online bidding site that acts as a platform for Users, aged 18 and above, to bid for the featured items of celebrities who have willingly provided their personal possessions as objects for the auction. “Celebrities” shall refer to movie stars, sports figures, artists, painters, musicians, political figures, and other like or similar personalities. You agree to use the Services only to bid for the items featured, post messages and receive messages in connection with the Services. By way of example, and not as a limitation, you agree that when using a Service, you will not: Use the Service in connection with any unsolicited or unauthorized advertising, promotional materials, surveys, contests, pyramid schemes, chain letters, junk email, spamming or any duplicative messages. Defame, abuse, harass, stalk, threaten or otherwise violate the legal rights of others. Harm minors in anyway. Publish, post, upload, distribute or disseminate any inappropriate, profane, defamatory, vulgar, infringing, obscene, libelous, indecent or unlawful topic, name, material or information. Publish, post, upload, distribute or disseminate any file or information that infringes or may infringe any patent, trademark, trade secret, copyright or other proprietary rights of any party or contain any material protected by intellectual property laws (or by rights of privacy) unless you own or control the rights thereto or have received all necessary authority to do the same. Publish, post, upload, distribute or disseminate any material that contains, with or without your knowledge, viruses, Trojan horses, worms, time bombs, cancelbots, corrupted files, or any other computer code or programs designed to interrupt, destroy or damage the operation of any computer software or hardware or telecommunications equipment or property. Download any file posted by Starfinds that you know, or reasonably should know, cannot be legally distributed in such manner. Falsify or delete any author attributions, legal or other proper notices or proprietary designations or labels of the origin or source of material contained in a file that is uploaded. Harvest, use "robots" or otherwise collect information about others, including email addresses. Restrict or inhibit any other user from using and enjoying the Services. Violate any code of conduct or other guidelines which may be applicable for any particular Service. Violate any applicable laws or regulations. Impersonate any person or entity or misrepresent affiliation with a person or entity or create a false identity for the purpose of misleading others. Use, download or otherwise copy, or provide (whether or not for a fee) to a person or entity any directory of users of Starfinds Website/Services or other user or usage information or any portion thereof. In addition, Starfinds, in its sole discretion, may refuse to complete any Transaction that Starfinds has reason to believe is unauthorized or made by someone other than you, may violate any law, rule, or regulation, or if Starfinds has a reasonable cause not to honor it. Each User agrees to assure and hold Starfinds not detrimental and not liable for losses resulting from any use or attempted use of the Services in violation of this Agreement. Starfinds reserves the right to civilly or criminally prosecute you for providing any form of false or misleading information to Starfinds, regardless of the nature of the information.

Starfinds has no obligation to screen and monitor the services. However, Starfinds reserves the right to review messages and other data posted on the Website and in its sole and exclusive discretion can remove such messages and data.

You shall be responsible for the protection of any personal information that you might disclose while using the Services. Starfinds does not control or endorse any content, message or information found in relation to any of the Services. Therefore, Starfinds specifically disclaims any liability with regard to the Services and any actions resulting from your participation in any Service. Managers and hosts are not authorized Starfinds spokespersons, and their views do not necessarily reflect those of Starfinds.

You agree that all acknowledgments and communications regarding this Agreement and the Service may be made by the contact number(s) that you have provided in your User Service Account such as email, mobile phone, or landline). Any electronic disclosure or communication made by Starfinds will be considered made when it is sent to you.

Starfinds has provided a User Profile Service for the users of the Starfinds Website where ratings, comments and feedback about a particular user and/or service may be posted and accessed by others. You shall not post any defamatory, libelous, profane, obscene, indecent, abusive, harassment or any unlawful message, material or information in the User Profile. Starfinds shall not be liable for any damages or losses you may incur in connection with, or arising out of, the ratings, comments, feedback, messages, material, or information posted by others in your User Profile.

Users desirous of bidding on the goods and merchandise posted for auction will be subject to fees which include but not limited to: membership fee, transaction fee, security deposit. Our Fees and Credits Policy is available. We may change our Fees and Credits Policy and the fees for our services from time to time. Our changes to the policy are effective after we provide you with at least seven (7) days notice of the changes by posting the changes on the Site. In the event we introduce a new service, the fees for that service are effective at the launch of the service. Unless otherwise stated, all fees are quoted in Pesos. You are responsible for paying all fees associated with using our service and the Site and all applicable taxes.

In case of winning bids, the winning bidder shall be given a period of two (2) days or forty eight (48) hours from notification by authorized Starfinds representatives or agents of the winning bid within which to pay for the good sold through user’s preferred payment method. Failure of the winning bidder to pay for the good sold within the period herein provided shall be construed as a breach of this Agreement which shall entitle Starfinds to put up again the sold good for auction to other users, without prejudice to the right of Starfinds to charge the defaulting winning bidder ten percent (10%) of final bid amount of the damage sustained by Starfinds from the defaulting winning bidder’s failure to pay for his bid within the period provided.

Winning bidders can pay using either of the three (3) payment means: Cash, Credit Card or Automated Teller Machine (ATM or debit card). For winning bidders wanting to pay using their credit cards, Starfinds will assume the cost of the transaction fee arising from the use of the said payment means. Winning Bidders who prefer to pay in cash must proceed to Starfinds office in JAKA Center, 2111 Chino Roces Ave., Makati City, Philippines. For Winning Bidders who prefer to pay using their ATM or debit cards, Starfinds will shoulder the transaction fee charged by the bank. Credit and Debit transactions can be made through Paypal and fees will be shouldered by Starfinds.

Delivery will be made using third party courier services. Deliveries within metro manila will be shouldered by Starfinds International Corp., while for deliveries outside Metro Manila, the courier charges will be charged to the winning bidder. Winning Bidders from outside Metro Manila will be notified thru email as to how much the delivery rates will be notified on the cost of the delivery.

You expressly agree that use of the Services is at your sole risk. Neither Starfinds, nor its affiliates, nor any of their officers, directors, or employees, agents, third-party content providers, merchants, sponsors, licensors, or the like, warrant that the Services will be uninterrupted or error-free; nor do they make any warranty as to the results that may be obtained from the use of the Services, or as to the accuracy, reliability, or currency of any information content, service, or merchandise provided through the Starfinds Website. Starfinds reserves the right, in its sole discretion, to terminate your access to any or all Starfinds Services and the related services or any portion thereof at any time, without notice. Upon termination of your Starfinds account, your right to use the Starfinds Website/Service immediately ceases. Starfinds shall have no obligation to maintain any content or to forward any unread or unsent messages, bids, notices, materials or any data to you or any third party.

Starfinds reserves the right to change the terms, conditions, and notices under which the Starfinds Website/Services are offered. You are responsible for regularly reviewing these terms and conditions and additional terms posted on particular websites. Your continued use of the Starfinds Website/Services constitutes your agreement to all such terms, conditions, and notices.

Starfinds is not responsible for any transactions you may have made with third parties outside Starfinds. Starfinds shall not be liable for any damage or loss that you incur as a result of, or arising out of, or in connection with your dealings with such third parties. In case of winning bids, Authorized Starfinds staff or representatives shall contact you in case of a winning bid. You shall be responsible to ascertain and confirm the authority of any person that may contact you in connection with the Starfinds Services. Thus, you agree to hold Starfinds free and not liable for any damage or loss that may be sustained as a result of, arising out of, or in connection with your communication and/or transaction with a person who is not an authorized Starfinds staff or representative.

The Information, Software, Products, and Services included in or available through the Starfinds Website/services may include inaccuracies or typographical errors. Changes are periodically made to the Starfinds Website/Services and to the information therein. Starfinds may make improvements and/or changes in the Starfinds Website/services at any time.

Starfinds makes no representations about the suitability, reliability, availability, timeliness, lack of viruses or other harmful components and accuracy of the information, software, products, services and related graphics contained within the Starfinds Website/Services for any purpose. All such information, software, products, services and related graphics are provided "as is" without warranty of any kind. Starfinds hereby disclaims all warranties and conditions with regard to information, software, products, services and related graphics, including all implied warranties and conditions of merchantability, fitness for a particular purpose, workmanlike effort, title and non-infringement. You specifically agree that Starfinds shall not be responsible for unauthorized access to or alteration of your transmissions or data, any material or data sent or received or not sent or received, or any transactions entered into through the Starfinds Website/service. You specifically agree that Starfinds is not responsible or liable for any threatening, defamatory, obscene, offensive or illegal content or conduct of any other party or any infringement of another's right, including intellectual property rights. You specifically agree that Starfinds is not responsible for any content sent using and/or included in any Starfinds web site/service by any third party. In no event shall Starfinds be liable for any direct, indirect, actual, moral, exemplary, punitive, incidental, special, consequential damages or any damages whatsoever including, without limitation, damages for loss of use, data or profits, arising out of or in any way connected with the use or performance of the Starfinds Website/services, with the delay or inability to use the Starfinds Website/services or related services, the provision of or failure to provide services, or for any information, software, products, services and related graphics obtained through the Starfinds Website/services, or otherwise arising out of the use of the Starfinds Website/services, whether based on contract, tort, negligence, strict liability or otherwise, even if Starfinds has been advised of the possibility of damages. If you are dissatisfied with any portion of the Starfinds Website/services, or with any of these terms of use, your sole and exclusive remedy is to discontinue using the Starfinds Website/services.

You acknowledge that Starfinds Website may contain information, data, software, photographs, graphs, videos, typefaces, graphics, music, sounds, and other material ("Content") that are protected by copyrights, trademarks, trade secrets, or other proprietary rights, and that these rights are valid and protected in all forms, media and technologies existing now or hereinafter developed. All Content is copyrighted as a collective work under the existing copyright laws, and the Starfinds Website owns a copyright in the selection, coordination, arrangement, and enhancement of such Content. You may not modify, remove, delete, augment, add to, publish, transmit, participate in the transfer or sale of, create derivative works from, or in any way exploit any of the Content, in whole or in part. You may not upload, post, reproduce, or distribute in any way Content protected by copyright, or other proprietary right, without obtaining permission from the owner of the copyright or other propriety right. In addition to the foregoing, use of any software Content shall be governed by the software license agreement accompanying such software.

By posting, sending or uploading data, software, photographs, graphs, videos, typefaces, graphics, music, sounds, user-name and other material to the Starfinds Website, you hereby grant Starfinds the non-exclusive, royalty-free, perpetual, irrevocable and fully sub-licensable right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute and display such content in any manner, form or media throughout the world.

Any opinions, advice, statements, services, offers, or other information that constitutes part of Content expressed or made available by third parties, including any other user of the Starfinds Website, are those of the respective authors and not of Starfinds or its affiliates or any of their officers, directors, employees, or agents. Neither Starfinds nor its affiliates, nor any of their officers, directors, employees, or agents, nor any third party, including any provider, or any other user of the Starfinds Websites, guarantees the accuracy, completeness, or usefulness of any Content, nor its merchantability or fitness for any particular purpose. In many instances, the Content available through the Starfinds Website represents the opinions and judgments of the respective user not under contract with the Starfinds Website. Starfinds neither endorses nor is responsible for the accuracy or reliability of any opinion, advice, or statement made on the Starfinds Website, including those provided in the User Profile Service of Starfinds, by anyone other than authorized the Starfinds Website employees or representatives. Under no circumstances shall the Starfinds Website, or its affiliates, or any of their officers, directors, employees, or agents be liable for any loss, damage or harm caused by your reliance on information obtained through the Starfinds Website. It is your responsibility to evaluate the information, opinion, advice, or other Content available through Starfinds Website.

This Agreement shall be governed in all respects by the laws of the Republic of the Philippines. In the event of a dispute between you and Starfinds arising out of, or in connection with, or as a result of this Agreement, our goal is to provide you with a neutral and cost effective means of resolving the dispute quickly. Accordingly, you agree that any claim or controversy at law or equity that arises out of this Agreement or our Services shall be resolved as far as practicable in an amicable manner, failing which the dispute shall be adjudicated in a court of competent jurisdiction in Makati City, Philippines, to the exclusion of all other courts.
